Official Rules & Conditions

NO PURCHASE NECESSARY TO ENTER OR WIN THE CONTEST. VOID WHERE PROHIBITED. THIS CONTEST is sponsored by Yahoo! Inc. ("Yahoo!" or the "Sponsor"). This Contest is not affiliated with, nor endorsed by, the National Football League or any of its member teams.

  1. CONTEST DESCRIPTION: The Yahoo! Sports "Chad Johnson's Touchdown Celebration Showdown" (the "Contest") is a popularity contest in which each participant may compete by submitting an audiovisual recording to http://sports.yahoo.com/chadjohnsoncontest (the "Contest Site") of the participant demonstrating his/her original post-touchdown celebration (an "Entry Video"). The Contest begins at 12:01 AM PDT on July 31, 2007 and ends at 11:59 PM PDT on September 4, 2007. The deadline for submissions is August 20, 2007 at 11:59 PM PDT (the "Submission Deadline"). The Contest will be conducted in two phases. During the first phase of the Contest ("Round One"), participants will be invited to upload an Entry Video. All submissions will be rated by a panel of judges chosen by Sponsor. Five Finalists will be selected at the end of Round One based on the results of the judging to advance to the second phase. During the second phase of the Contest, ("Round Two") the public will be asked to select their favorite Entry Video from the five videos submitted by the Finalists. The Contest Entrant (defined below) who submitted the Entry Video which receives the most votes during Round Two of the Contest will be declared the Grand Prize winner, subject to verification and compliance with these Official Rules.

  2. ELIGIBILITY: This Contest is open to legal residents of the fifty United States and the District of Columbia who are at least 13 years of age. Entrants who are under the age of majority in their jurisdiction of legal residence must have their parent/legal guardian's permission in order to submit an entry in this Contest. Employees and agents of Sponsor, its affiliates, subsidiaries, advertising and promotion agencies, any other prize sponsor, and any entity involved in the development, production, implementation, administration or fulfillment of the Contest (all of the foregoing, together with Sponsor, collectively referred to as "Promotion Entities"), and their immediate family members and/or those living in the same household of such persons, are not eligible to enter the Contest.

  3. HOW TO REGISTER: Any individual wishing to participate in the Contest must first register to participate, thereby becoming an eligible participant (a "Contest Entrant"). Registration is free and available at the Contest Site. If you are not an existing Yahoo! account holder, follow the instructions to create a free Yahoo! ID (a "Contest ID"). As part of the registration process, Contest Entrants will be required to click where indicated to signify that they accept and unconditionally agree to be bound by these Official Rules, including the decisions of the judges and the Sponsor which are final and binding in all respects. Limit one (1) registration per person and per e-mail address. Any individual who attempts to register, or in the sole discretion of Sponsor is suspected of registering more than once, by any means, including but not limited to establishing multiple e-mail accounts or Yahoo! IDs, will be disqualified from the Contest.

    A group of individuals (a "Group") may collaborate on a Contest Entry, provided that ALL members of the Group meet the eligibility requirements contained in these Official Rules. The Group must designate ONE person as the agent of the Group to enter the Contest, agree to these Official Rules and accept the Grand Prize on behalf of the Group. The person who obtains the Yahoo! ID under which a Contest Entry is submitted will be deemed the "Contest Entrant" for that Contest Entry. In the event of dispute regarding the identity of the holder of a Contest ID, dispute will be resolved in favor of the individual who is both the authorized holder of the Contest ID and password associated with the Yahoo! ID (based upon information submitted at the time the Yahoo! ID was created or updated upon registration for this Contest) and, if available, the "authorized alternate e-mail account holder" provided when the Contest ID was created. "Authorized alternate email account holder" is defined as the natural person assigned an e-mail address by an Internet access provider, online service provider, or other organization (i.e., business, education institution) responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. If a dispute as to the identify of a Contest Entrant cannot be resolved to Sponsor's satisfaction, the affected Contest Entry will be deemed ineligible. Neither Sponsor nor any of the Promotion Entities will be liable for any disputes between collaborators arising under or related to the Contest.

  4. HOW TO SUBMIT A CONTEST ENTRY: Once you have completed registration, follow the online instructions to complete, encode and upload your Entry Video. You may submit up to five videos during the term of the Contest; however, you may not submit the same or materially similar Entry Video more than once. The decision about what constitutes the same or materially similar Entry Video is in Sponsor's sole discretion. You must complete the registration process and upload your Entry Video(s) by the Submission Deadline. Each Entry Video: (a) must be no more than 30 seconds in total running time; (c) must be formatted and encoded according to the requirements set forth at the Contest Site; (d) must be primarily in English, if there is any language in the Entry Video, except that subtitles may be permitted when used for comic effect (in the Sponsor's sole discretion); (e) must be intended for family audience viewing and contain only content that, in the sole and unfettered discretion of the Sponsor, is suitable for all persons over the age of 13; (f) must not, in the sole and unfettered discretion of the Sponsor, contain any sexually explicit, disparaging, libelous or other inappropriate content or any nudity; (g) must not, in the sole discretion of Sponsor, contain any commercial content that promotes any product or service, including, without limitation, the National Football League and its member teams; and (h) must not contain any music or other copyrighted works. Any elements appearing in your Entry Video, including without limitation, audio, speech/voiceovers, stills, video, supers, or other audiovisual materials (collectively, "Elements") used must be entirely original, created and performed by you or be fully in the public domain. Use of any Elements or other materials that are not original or in the public domain may result in disqualification of a Entry Video, in Sponsor's sole discretion.

  5. SPONSOR'S RIGHT TO DISQUALIFY: At any time during the Contest, Sponsor reserves the right, in its sole and unfettered discretion, to disqualify and remove any Entry Video that it believes contains any inappropriate content, infringes the rights of any third party, or otherwise does not meet any other requirements in these Official Rules. The decisions of the Sponsor on this and all matters relating to the Contest are final and binding.

  6. CONDITIONS OF CONTEST ENTRY: Each Contest Entrant retains ownership of any Entry Video he/she enters into the Contest. However, as conditions of entry into the Contest, each Contest Entrant (or Contest Entrant's parent/legal guardian, if Contest Entrant is a minor in his/her state of legal residence):

    1. WARRANTS AND REPRESENTS THAT THE CONTEST ENTRANT OWNS ALL RIGHTS TO THE ENTRY VIDEO(S) HE/SHE IS SUBMITTING, INCLUDING, WITHOUT LIMITATION, THE VIDEO OR DIGITAL RECORDING ITSELF, AND THE PERFORMANCE CONTAINED IN EACH ENTRY VIDEO (COLLECTIVELY, THE "CONTEST ENTRY MATERIALS");

    2. WARRANTS AND REPRESENTS THAT THE CONTEST ENTRANT IS THE INDIVIDUAL PICTURED AND HEARD IN THE RECORDING, OR, ALTERNATIVELY, THAT THE CONTEST ENTRANT HAS OBTAINED PERMISSION FROM EACH PERSON WHO APPEARS IN THE CONTEST ENTRY MATERIALS TO GRANT THE RIGHTS TO THE PROMOTION ENTITIES DESCRIBED IN THESE RULES, AND CAN MAKE WRITTEN COPIES OF SUCH PERMISSIONS AVAILABLE TO PROMOTION ENTITIES UPON REQUEST;

    3. WARRANTS AND REPRESENTS THAT: (a) HIS/HER CONTEST ENTRY MATERIALS ARE ORIGINAL AND HAVE BEEN LEGALLY OBTAINED AND CREATED, AND (b) DO NOT INFRINGE THE INTELLECTUAL PROPERTY, PRIVACY OR PUBLICITY RIGHTS OR ANY OTHER LEGAL OR MORAL RIGHTS OF ANY THIRD PARTY, OR VIOLATE APPLICABLE LAWS, REGULATIONS OR STANDARDS;

    4. irrevocably grants to Promotion Entities and their affiliates, legal representatives, assigns, agents and licensees, the worldwide, royalty-free, non-exclusive, sublicensable, unconditional, perpetual and transferable license and right to copyright (only as applicable), reproduce, encode, store, modify, copy, transmit, publish, post, broadcast, display, publicly perform, adapt, exhibit and/or otherwise use or reuse (without limitation as to when or to the number of times used), the Entrant's name, city & state of residence, image, voice, likeness, statements, biographical material and Contest Entry Materials, including, but not limited to, the video or digital recording and performances contained in any of the above items, as well as any additional photographic images, video images, portraits, interviews or other materials relating to the Entrant and arising out of his/her participation in this Contest (with or without using the Entrant's name) (collectively, the "Additional Materials") (in each case, as submitted or as edited/modified in any way, whether by the Promotion Entities, their licensees, or assigns, in the Promotion Entities' sole discretion) in any media throughout the world, whether now known or hereafter created, for any purpose, without limitation, and without additional review, compensation, or approval from the Entrant or any other party, except as prohibited by law;

    5. grants to others: (i) the non-exclusive license to access the Contest Entry Materials through the Contest Site or Yahoo! Video service; (ii) the ability for Yahoo! registered users ("Yahoo! Users") to rate, review, comment on and tag the Contest Entry Materials; (iii) the ability to embed Yahoo!'s video player with the Contest Entry Materials on the Yahoo! User's web site; (iv) the ability for Yahoo! Users to send and distribute the Contest Entry Materials via e-mail or instant messenger; (v) the ability to access the Contest Entry Materials via Yahoo!'s web service APIs or via RSS or any similar XML or related feeds; and (vi) the non-exclusive license to use, reproduce, distribute, remix, prepare derivative works of and compilations, display and perform the Contest Entry Materials as permitted through the functionality of the Yahoo! Video service and under the Yahoo! Terms of Service (http://docs.yahoo.com/info/terms/) and Yahoo! Video Additional Terms of Service (http://video.yahoo.com/html/tos.html);

    6. forever waives any rights of privacy, intellectual property rights, and any other legal or moral rights that may preclude Promotion Entities' use of the entrant's Contest Entry Materials or Additional Materials, or require the Contest Entrant's permission for Promotion Entities to use them for promotional purposes, and agrees to never sue or assert any claim against the Promotion Entities' use of those Materials;

    7. acknowledges and agrees that (a) Promotion Entities have access to and/or may create or have created literary, film, tape and/or other materials, ideas and concepts which may be similar or identical to the Contest Entry Materials in theme, idea, plot, format, characters and/or other respects; (b) the Contest Entrant will not be entitled to any compensation or other consideration because of the use by Promotion Entities of any such similar or identical material, ideas and/or concepts; and (c) Promotion Entities' use of material containing elements similar to or identical with those contained in the Contest Entry Materials or any component thereof shall not obligate Promotion Entities to negotiate with nor entitle Contest Entrant to any compensation or other claim;

    8. agrees to indemnify and hold the Promotion Entities and their respective affiliates, officers, directors, agents, co-branders or other partners, and any of their employees (collectively, the "Promotion Indemnitees"), harmless from any and all claims, damages, expenses, costs (including reasonable attorneys' fees) and liabilities (including settlements), brought or asserted by any third party against any of the Promotion Indemnitees arising out of or in connection with (a) any Contest Entry Materials or Additional Materials (including, but not limited to, any and all claims of third parties, whether or not groundless, based on the submission of such material); (b) any breach by Contest Entrant of any warranty, agreement or representation contained in these Official Rules or terms of service or in any documentation submitted by Contest Entrant; (c) the Contest Entrant's conduct during and in connection with this Contest, including but not limited to trademark, copyright, or other intellectual property rights, right of publicity, right of privacy or defamation; or (d) the acceptance of any prize.

  7. ROUND ONE FINALIST SELECTION PROCESS: At the start of Round One on July 31, 2007, a series of ineligible sample submissions will be made available as examples on the Contest Site. All eligible Entry Videos, as they are received and deemed to be eligible, will be displayed on the Contest Site starting July 31, 2007. Between July 31, 2007 and August 20, 2007 (the "Round One Comment Period"), members of the public who have registered at the Site will have the opportunity to view and comment on the posted Entry Videos.

    The Entry Videos in Round One will be rated by a panel of judges consisting of members of the Yahoo! Sports editorial staff (the "Judges"), who will evaluate each Entry Video. The Judges will rate the Entry Videos on a 1-5 scale rating with 1 being the lowest score and 5 being the highest score, based on the following equally weighted criteria: creativity, humor, and audience appeal (the "Judging Criteria"). The Contest Entrants who submitted the Entry Videos that receive the five highest average ratings from the Judges will be considered the potential Contest finalists (each, a "Finalist") and advance to Round Two, subject to verification by the Sponsor and Judges that their respective Entry Videos are in compliance with the Official Rules and do not contain any inappropriate content. An additional number of alternate finalists ("Alternates") will also be selected, in rank order, from among the remaining eligible Entry Videos as scored by the Judges.

    Between approximately August 10, 2007 and August 21, 2007, the five potential Finalists and an additional number of Alternates will be contacted by telephone and/or email to arrange a personal interview and pre-screening with the Sponsor (the "Pre-Screening"). Each potential Finalist/Alternate (or, if potential Finalist/Alternate is a minor in his/her state of legal residence, his/her parent or legal guardian) will be required to execute and return an Affidavit of Eligibility and Liability/Publicity Release (collectively, an "Affidavit and Release"), together with any other documentation or screening that may be required by Sponsor. As part of the Affidavit and Release, each potential Finalist/Alternate will be required to give his/her consent for the Promotion Entities to seek, at their option, investigative reports from an outside source that will report on the potential Finalist's/Alternate's character, general reputation, creditworthiness, and/or other personal or character aspects as may be deemed relevant in the Promotion Entities' sole discretion. Failure to give approval will result in disqualification of the potential Finalist/Alternate from the Contest. If a Contest Entry has been submitted by a Group, Sponsor reserves the right to conduct a similar Pre-Screening and investigation on each member of the Group. Sponsor reserves the right, in its sole discretion, to disqualify any potential Finalist/Alternate or confirmed Finalist/Alternate on the basis of that individual's (or, if applicable, that Group's) investigative reports. If any potential Finalist/Alternate cannot be contacted, does not return a phone call or correspondence from the Promotion Entities within 24 hours following attempted notification, or fails to comply with the Sponsor's verification process and/or eligibility requirements for the Pre-Screening, that potential Finalist/Alternate may be disqualified. Similarly, the Affidavit and Release must be fully completed and returned to Promotion Entities within 48 hours following the sending of those documents to the potential Finalist/Alternate, or the potential Finalist/Alternate may be disqualified. An alternate potential Finalist/Alternate may be selected, in rank order, from among the remaining Contest Entries, if time permits, and if any qualified Contest Entries remain, subject to the same eligibility and verification requirements described in these Official Rules. Potential Finalists/Alternates which are disqualified for any reason will not be entitled to any form of compensation, and any and all rights to further participation or any prize in this competition will be forfeited. Sponsor reserves the right to select fewer than five Finalists in the event that fewer than five potential Finalists are deemed to meet their criteria, or if any potential Finalist, in the sole opinion of Sponsor, does not pass a background check or the Pre-Screening.

  8. ROUND TWO: THE FINAL JUDGING PHASE: Beginning August 22, 2007 and continuing until September 4, 2007 at 11:59PM PDT (the "Finalist Voting Period"), each Finalist's selected Entry Video will be posted on the Contest Site. Members of the public ("Voters") will be invited to view each Entry Video to vote for their favorite. Voters may only vote ONCE during the Finalist Voting Period; any attempt by a Voter to vote more than once may result in disqualification of all rating and other Voter activity produced by that Voter. The Finalist who receives the most votes from the public during the Finalist Voting Period will be declared the Grand Prize winner. In the event of a tie during the Final Voting Period, the tie will be broken by a panel of judges based on the same criteria used in Round One.

  9. PRIZE: One Grand Prize winner will receive a trip for two (winner and companion) to Cincinnati, OH to meet Chad Johnson (the "Prize Trip"). If a Contest Entry submitted by a Group is selected as the Grand Prize winner, only the ONE Group member designated as the "Contest Entrant" by the Group will be entitled to the Prize Trip. Prize Trip includes round trip coach class air transportation for two from a major U.S. airport close to winner's home (carrier and airport to be selected by Sponsor) to Cincinnati, OH; hotel accommodations (one room, standard, double occupancy) for two nights; a one-hour "meet and greet" with Chad Johnson; and $500 cash stipend. Approximate retail value of Grand Prize: $3,998 (Grand Prize value may vary depending upon the actual cost of air transportation from point of departure and accommodations at time of reservation). Sponsor reserves the right to substitute ground transportation for air transportation depending on proximity of winner's residence to Cincinnati. Any difference in prize value as a result of such substitution will not be awarded.

    Except as specifically provided herein, Grand Prize package does not include taxes, insurance, telephone charges, personal expenses, travel arrangements between winner's home and U.S. airport of departure, ground transportation, gratuities, passenger facility charges (PFCs), departure taxes, incidental charges, or any other item not specifically described in these Official Rules, and all expenses for any of the foregoing are the sole responsibility of the prize winner. Winner must be able to travel on dates specified by Sponsor. If Promotion Entities cannot find an eligible winner who is able to travel on required dates in time to satisfy verification procedures, Grand Prize may not be awarded. Once confirmed, Prize Trip dates and travel accommodations cannot be changed by winner; however, travel is subject to availability, blackout dates, and/or change due to circumstances beyond Promotion Entities' control. Winner and his/her travel companion must travel on the same dates, itinerary, and fare class. If a winner is deemed a minor in his/her state of residence, winner's parent/legal guardian will be required to accompany winner on trip as winner's travel companion. All travel awarded in this Contest must be completed by December 31, 2007. No extensions will be permitted, and any unused travel will be forfeited. Prize cannot be used in conjunction with any other promotion or offer and may not be separated. All tickets issued in conjunction with the Grand Prize are not eligible for frequent flyer miles, and no code-share flights may be used. Grand Prize may not be transferred or assigned except by Sponsor. Only listed prize will be awarded and no substitutions, cash equivalents or redemptions will be made, except that Sponsor reserves the right to substitute any prize package with another prize of equal or greater value in the event that the advertised prize (or any component thereof) is not available. One-hour meet and greet with Chad Johnson is subject to his availability and schedule. Reporting and payment of all applicable taxes, fees, and/or surcharges, if any, arising out of, or resulting from, acceptance or use of prize, are the sole responsibility of the winner. Sponsor expressly disclaims any responsibility or liability for injury or loss to any person or property relating to the delivery and/or subsequent use of the prizes awarded. Sponsor makes no representations or warranties concerning the appearance, safety or performance of any prize awarded. Restrictions, conditions, and limitations apply. Promotion Entities will not be liable for or replace any lost or stolen prize items.

  10. GENERAL RULES: The Contest is governed by and subject to the laws of the United States. All federal, state and local laws and regulations apply. Void where prohibited by law. Grand Prize winner will receive an IRS Form 1099 for the value of the prize. . If the Grand Prize is awarded in connection with a Contest Entry submitted by a Group, the member of the Group designated as the "Contest Entrant" by the Group will be designated as the recipient of the prize for tax purposes, and will receive the IRS Form 1099 in connection with the prize. Contest Entrants agree to be bound by the Official Rules and the decisions of the judges, which are final and binding on all matters relating to the Contest. Sponsor is not responsible for any typographical or other errors in the printing of the offer, administration of the Contest or the announcement of the prizes, or for lost, late, misdirected, damaged, incomplete or illegal entries.

    Sponsor reserves the right at its sole discretion to disqualify the Contest Entry or the vote of any individual found to be (a) tampering or attempting to tamper with the entry process or the operation of the Contest or any Sponsor website; (b) violating the Official Rules; (c) violating the terms of service, conditions of use and/or general rules or guidelines of any Sponsor property or service, or (d) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Further, Sponsor reserves the right to disqualify any entry which, in Sponsor’s sole opinion, is deemed to be offensive, libelous, slanderous, inflammatory, or otherwise inappropriate in any way for this Contest. CAUTION: ANY ATTEMPT BY A CONTEST ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

  11. LIMITATIONS OF LIABILITY: The Promotion Entities assume no responsibility for any computer, online, telephone transmission or technical malfunctions that may occur during participation in the Contest or any Contest-related activity (including, without limitation, the voting phase of the Contest), or for theft, destruction or unauthorized access to, or alteration of, Contest Entry Materials or votes. Promotion Entities are not responsible for any incorrect or inaccurate information, whether caused by website users, Contest Entrants or any of the equipment or programming associated with or utilized in the Contest; or for any technical or human error which may occur in the processing of submissions or votes in the Contest. Promotion Entities assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, failures or technical malfunction of any telephone network or lines, computer online systems, servers, providers, computer equipment, software, email, players or browsers, whether on account of technical problems, traffic congestion on the Internet or at any website, or on account of any combination of the foregoing (including but not limited to any such problems which may result in the inability to access the Contest Site or to submit Entry Materials or votes in connection with the Contest). Promotion Entities are not responsible for any injury or damage to Contest Entrants or any other person, or to any computer related to or resulting from participating or downloading materials in this Contest. If, for any reason, the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Promotion Entities which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, Sponsor reserves the right at their sole discretion to cancel, terminate, modify or suspend the Contest and select winners from among those eligible Contest Entries from that portion of the Contest that has not been compromised, if any.

  12. DISPUTES/GOVERNING LAW: Except where prohibited, as a condition of participating in this Contest, Contest Entrant agrees that any and all disputes which cannot be resolved between the parties, claims and causes of action arising out of or connected with this Contest, or any prize awarded, or the determination of winners shall be resolved individually, without resort to any form of class action. Further, in any such dispute, under no circumstances will Contest Entrant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than entrant's actual out-pocket expenses (e.g., costs associated with entering this Contest), and Contest Entrant further waives all rights to have damages multiplied or increased.

    All issues and questions rights and obligations of Contest Entrant in connection with this Contest shall be governed by, and construed in accordance with, the laws of the State of California, U.S.A., without giving effect to the conflict of laws rules thereof and any matters or proceedings which are not subject to arbitration as set forth in these Official Rules and/or for entering any judgment on an arbitration award, shall take place in the State of California, County of Santa Clara.

    The parties waive rights to trial by jury in any action or proceeding instituted in connection with these Official Rules and/or this Contest. Any controversy or claim arising out of or relating to these Official Rules and/or this Contest shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of California, County of Santa Clara, and judgment on the arbitration award may be entered into any court having jurisdiction thereof.

  13. PRIVACY: By entering the Contest, you agree to Yahoo!'s use of your personal information, as described in the Yahoo! Privacy Policy, located at http://privacy.yahoo.com/privacy/us/promo/index.html.

  14. WINNERS' LIST/RULES REQUESTS: For a copy of the Official Rules or the winner’s name, send a separate, stamped, self-addressed envelope to: Yahoo! Sports “Chad Johnson Touchdown Celebration Showdown”, Winner's List / Official Rules Requests, c/o Yahoo! Sports, 2450 Broadway, Santa Monica, CA 90404. Vermont residents may omit return postage. Requests received after September 15, 2007 will not be honored.
